What does it take to bring a U.S.-based holding structure back to India efficiently?

Our recently concluded IACC– Grant Thornton Bharat webinar explored the tax, regulatory and commercial considerations involved in structuring a reverse flip, with practical insights across multiple implementation routes.

Key Takeaways
- Many India-focused businesses are increasingly reassessing historic U.S. holding structures as India’s capital markets and operational ecosystem continue to evolve.

- A reverse flip should be driven by commercial objectives, with alignment of legal ownership and business operations being an important consideration.

- Multiple implementation routes exist, including mergers, share swaps, asset transfers, dividend in kind and IFSC S**C models, each with distinct tax and regulatory implications.

- Reverse flip structures can trigger U.S. and Indian tax consequences at both corporate and shareholder levels, depending on the transaction route adopted.

- IRC Section 7874 anti-inversion rules and ownership continuity thresholds can materially impact U.S. tax outcomes and should be evaluated early in the restructuring process.

- From the India perspective, there can be a trade-off between transaction costs and implementation timelines, depending on the specific facts and the option selected.
