Terms and Conditions for "Be the Change" and/or “be the change” Trademark Usage
Effective Date: 10 March 2019
1. Ownership and Rights
The "Be the Change" and/or “be the change” trademark ("Trademark") is the sole property of The Wagner Foundation I NPO ("Company").
All rights, title, and interest in and to the Trademark are reserved and owned by the Company.
No rights, licenses, or permissions are granted to any third party except as expressly set forth in these Terms and Conditions.
2. Proper Use and Restrictions
2.1 Authorized Use
The Trademark may only be used in accordance with the guidelines provided by the Company and solely in connection with approved products, services, or campaigns.
Use must be truthful, respectful, and in a manner that maintains the reputation and integrity of the Trademark.
2.2 Prohibited Use
Do not modify, distort, or alter the Trademark in any way.
Do not use the Trademark in any manner that suggests endorsement, sponsorship, or affiliation without prior written approval from the Company.
Do not incorporate the Trademark into domain names, social media handles, or email addresses without explicit permission.
Do not use the Trademark in connection with illegal, offensive, or inappropriate content.
Do not use the Trademark in a way that could dilute, tarnish, or diminish its distinctiveness or value.
3. Trademark Notice and Attribution
All uses of the Trademark must include the appropriate trademark symbols: ® (registered) or ™ (common law), as applicable.
4. Enforcement and Infringement
The Company shall monitor the use of the Trademark and enforce its rights against unauthorized or infringing use.
Any unauthorized use or infringement may result in legal action, including but not limited to injunctions, damages, and recovery of legal costs.
5. No Transfer of Rights
Nothing in these Terms and Conditions grants any rights to use the Trademark beyond the scope explicitly permitted.
All rights not expressly granted are reserved by the Company.
6. Termination of Use
The Company reserves the right to revoke or terminate any permission to use the Trademark at any time and for any reason.
Upon termination, all use of the Trademark must cease immediately.
7. Indemnification
Users agree to indemnify, defend, and hold harmless the Company and its affiliates from and against any claims, damages, liabilities, costs, or expenses arising from unauthorized or improper use of the Trademark.
8. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law principles.
9. Changes to Terms
The Company reserves the right to update or revise these Terms and Conditions at any time.
Continued use of the Trademark after changes constitutes acceptance of the new terms.
