POAC Board Update — CEO Search & Governance

The Pony of the Americas Club Board of Directors met and took action on two significant items.

Recusal Resolution Adopted
The Board approved the recusal resolution previously reviewed by legal counsel. The resolution passed by majority vote and establishes clear standards for how directors with a personal or financial interest in a matter before the Board must step aside from deliberation and voting. This step reflects the Board’s commitment to transparency, sound governance, and compliance with Iowa nonprofit law.

CEO Selection Process Approved
The Board also voted to adopt the following process for selecting POAC’s next Chief Executive Officer:

• The President will appoint a five-member Selection Committee, composed primarily of directors and which may include active members in good standing. The Committee will designate a Chair.
• The Committee will review applicants and present its top four candidates to the Board by September 6.
• The Board will convene between September 7 and September 19 to conduct interviews and deliberate on the four finalists.
• An offer will be extended to the candidate receiving a majority vote, with the goal of having the selected individual accept the position ahead of the Futurity Board Meeting.

The following individuals have been appointed to serve on the Selection Committee:

• Diana Peaton
• Casey Henderson
• Kathy McKenzie
• Scott Shingleton

The Board thanks these members for their willingness to serve, and thanks the membership for its patience and continued support as we work to place strong, capable leadership at the head of our association. Further updates will be shared as the process moves forward.

➢ 🐴 All foal registrations should have been into the office by Aug 1st, to ensure registration papers will be issued prior to the Aug 18th deadline. If they were submitted after that, they may be subject to rush fees.

Planning to show your weanling at the POAC International Futurity Show? Be sure to get your registration paperwork submitted to the POAC office by August 1.

If your weanling was conceived via transported semen, please remember that DNA/parent verification must be completed before registration. Waiting until the last minute may result in rush fees, so don't delay!
