The name of the company is LEND A HAND ORGANISATION
REGISTERED OFFICE:
The registered office of the organization shall be situated in the republic of
Rwanda. PURPOSE:
The purpose and passion of Lend A Hand Organisation is to support and contribute on
the development of our nation, doing this by taking back to school vulnerable children and
changing the poor standards of living of their families to better ones. To this end Lend A Hand Organization aims to:

Of living for the welfare of their children. Acquire any movable or immovable property or any rights therein and to put the same to any use that shall be considered useful to the organization or necessary for promoting the purpose of the organization and to improve and deal with such property in such ways as shall be considered advisable by the organization. Adopt all means of making known the purpose of the organization as may be seem expedient and to make appeals and requests for donations or subscriptions in such a manner as shall be considered to be in agreement with the purpose of the organization
Acquire part or all of the undertaking or to enter into any partnership with or to promote or assist in promoting any company, association, or organization with purposes similar to those of the organization or engaged in or about to engage in activities similar to those of the organization. UTILISATION OF FUNDS:
The income and property of the organization whensoever derived shall be applied
Solely towards the promotion of the purposes of the organization as set forth in this
Memorandum and articles of association and no portion thereof shall be paid or transferred
Directly or indirectly by way of dividend, gift, division, bonus, or otherwise howsoever by way
Of profit to the members of the Organization. Provided further that nothing hereinbefore contained shall prevent any payment to any company of which a member, director, officer or servant of this organization may be a director member or shareholder and such a person shall not be bound to account for any share of profits he may receive in respect to such payment
MEMBERSHIP:
Membership of the organization shall be open to all persons who are able and willing to subscribe to the objectives of the organization and desire to carry them out. All members shall by their signature accept to be the subscribers of the purpose and objectives of the organization
Any member who wishes to retire shall signify his/her wish in writing to the secretary, and thereupon his/her name shall be removed from the list of members and he/she shall be deemed to have retired. TERMINATION OF MEMBERSHIP:
The board on a majority vote of the directors present at the relevant board meeting and
Voting by ballot may terminate the membership of any member who for any reason cease
To maintain close working relationship with the organization or who ceases for any reason
To satisfy the requirement of membership or who in any way brings discredit upon the
Organization or who endangers its welfare and progress. MANAGEMENT OF THE ORGANISATION:
The affairs of the organization shall be managed by its board of directors subject to clauses (I), (II) and (III) below:
Until such time as Lend A Hand Organization no longer receives funds from its members and supporting companies, organizations and individuals for operating budget, the annual budget of Lend A Hand Organization shall be approved by its directors to the beginning of each fiscal year of the organization. All the directors of Lend A Hand Organization shall report to the Chairman in all administrative matters, large and small, pursuant to the carrying-out of the expenditure of funds as outlined by the same organization budget, approved by the board of directors. The board of directors shall consist of a chairman, vice chairman, the managing directors and not more than ten other directors who will be chosen among the members according to the project
