We are sharing some information tiles to help explain the upcoming Special General Meeting and the proposed changes being put forward for registered adult Tapuika members to vote on.

ā“ What is this Special General Meeting about?
šŸ’¬ The SGM is for registered adult Tapuika members to vote on proposed changes to the TIA and TOA Trust Deeds.

ā“ Why are changes being proposed?
šŸ’¬ Some changes are needed to meet Māori Fisheries Amendment Act 2024 requirements. Others help update old references and strengthen governance.

ā“ What is the Māori Fisheries Amendment Act 2024?
šŸ’¬ It is a law that changes how iwi manage fisheries assets. Tapuika needs to update some documents to stay compliant.

ā“ What does MIO mean?
šŸ’¬ MIO means Mandated Iwi Organisation. For Tapuika, this is Tapuika Oranga Ake.

ā“ What changes are proposed for Tapuika Oranga Ake?
šŸ’¬ The TOA changes update the Deed to meet fisheries law requirements and remove Taurahere trustee positions.

ā“ What changes are proposed for Tapuika Iwi Authority?
šŸ’¬ The TIA changes update old references, adjust trustee numbers, and allow independent skilled people to be co-opted to support the Board.

ā“ What are co-opted independent board members?
šŸ’¬ They are people appointed by the Board because they have useful skills or experience. This may include finance, law, investment, property, or strategy.

ā“ Will co-opted board members have voting rights?
šŸ’¬ This will depend on the appointment framework set by the Board. Their role should be clearly recorded and explained.

ā“ Who appoints co-opted board members?
šŸ’¬ The elected Board appoints and removes co-opted members.

ā“ What is the voting threshold for these changes?
šŸ’¬ Most changes need approval from 75% of participating eligible voters.

NOTICE OF SPECIAL GENERAL MEETING

Tapuika Iwi Authority & Tapuika Oranga Ake

Notice is given that a Special General Meeting (SGM) of eligible registered adult members of Tapuika Iwi Authority (TIA) and Tapuika Oranga Ake (TOA) will be held on:

Saturday, 13 June 2026 at 10.00am
at Tia Marae, 20 Malcolm Avenue, Te Puke.

Purpose: To consider and vote on resolutions to amend the TIA Trust Deed, TOA Trust Deed, and related trustee company constitutions, including amendments required under the Māori Fisheries Act 2004 and Māori Fisheries Amendment Act 2024. Key deed amendment resolutions require approval by 75% of eligible votes cast.

Proposed Resolutions:
TIA
1. Amend the TIA Trust Deed to update references to Tapuika Oranga Ake, adjust trustee numbers following removal of Taurahere trustee positions and elections (without change to share numbers), and enable co option of independent trustees.

2. Amend the constitution of Tapuika Iwi Authority Trustee Limited to align with the amended TIA Trust Deed and allow completion of resignation and share transfer documents where a director ceases to be elected and does not sign.

TOA
1. Amend the TOA Trust Deed to ensure Māori Fisheries Act compliance, including changes to share structure, MIO shareholder rights in AFL, restrictions on quota sales, board representation rules, reporting and planning requirements, with effect from 26 July 2026, and confirm these changes and consistent amendments to the constitution of Tapuika Holdings Limited are for the collective benefit of all members.

2. Remove Taurahere trustee positions and elections.

3. Confirm that the TOA Trust Deed amendments and corresponding amendments to the Tapuika Holdings Limited constitution are for the collective benefit of all members.

Voting: Voting is by ballot. Postal and office ballot box votes close 3.00pm Friday, 12 June 2026. TIA Offices located at 46 Jellicoe Street Level One Suite One, Te Puke.

Ballots may also be deposited in a sealed envelope at the SGM. Late ballots may not be accepted. Chief Returning Officer will be present at the SGM until its’ conclusion.

E te whānau, although Anzac Day has passed, we still wish to take a moment to acknowledge and remember our tūpuna, our Māori Battalion, and all those who served, sacrificed, and carried the weight of war for future generations.

We mihi to those who rose before dawn to attend services, lay wreaths, share karakia, and keep the memories of our servicemen and women alive. Their courage, their mamae, and their legacy continue to live on through their uri, their whānau, and the stories we carry.

We remember them not only on Anzac Day, but always.

Huge mihi to those who participated in the Te Arawa Marae to Marae Relay in Rotorua on Saturday, representing Mokotangataakotahi Marae.

It was awesome to see our whānau out there taking part, supporting each other, and carrying our hapū name with pride.

Thank you to everyone who ran, walked, helped organise, supported from the sidelines, and contributed to the kaupapa.
