CLAUSE 1 – LICENSE PARTIES
This license is between
1. The MasterPeace Foundation (stichting “Stichting MasterPeace”), a foundation incorporated under
the laws of The Netherlands, having its statutory seat at Amsterdam, registered at the trade register of the
chamber of commerce in Amsterdam under number 34386933, for this purpose duly represented by the
MasterPeace Central Office represented by the CEO of MasterPeace Mohamed Helmy,
2. The MasterPeace Club of Bamenda – Cameroon covering the locality of Cameroon for this purpose
duly represented by Ngo Banfogha
The Club is legally running under the legal umbrella Organization for Leéiyen a not for profit organization
that operates officially under the laws of the Republic of Cameroon and that is officially registered under
number 047/E.29/111/VOL.8/APPB for this purpose duly represented by Ngo Banfogha. The following terms and conditions are effective upon dually signing the agreement. GENERAL:
A. MasterPeace Foundation acts officially as the sole owner and operator of the MasterPeace project to
create a grass-root movement that will be the most heartwarming global peace project ever, as a result of
an intensive East-West cooperation with support from NGOs, companies, cities, social entrepreneurs. MasterPeace Foundation is encouraging dialogue, togetherness and social sustainability from small local
neighborhoods to large conflict areas, worldwide through music, culture, new media and the development
of the International Day of Peace. MasterPeace Clubs are the on-the-ground arms of MasterPeace that implement our goals and initiatives. They reach the masses and empower more individuals to become actively involved in peace-building and
limiting (armed) conflicts on a local level. By using simple entrepreneurial techniques and creative ideas,
MasterPeace Clubs will form an active, engaged, alert, positive and inter-cultural network of peace
minded and action oriented people. By signing this agreement, MasterPeace Foundation herewith grants to MasterPeace Club a non-transferable permission to use the Concept and the Activities that could be localized in the condition to be
complying with the concepts, values, and spirit for Masterpeace. MasterPeace Club will hereafter be able
to perform as the on-the-ground extension inspired by the MasterPeace Foundation. AGREEMENT ARTICLES INCLUDING TERMS AND CONDITIONS:
CLAUSE 2 - DEFINITIONS
In this Agreement the following capitalized words shall have the following meanings, unless the context requires
otherwise and is thus specified:
Concept: MasterPeace Foundation Concept as described in Schedule I;
Values: MasterPeace Foundation Core Values, as described in Schedule II;

Goals: MasterPeace Foundation Mission and Goals, as described in Schedule III;
Activities: MasterPeace Club suggested activities and frame of work for the initiatives that will be
adopted by the Club, as described in Schedule IV;
Intellectual Property: The trademarks, copyrights and other intellectual property as reflected in Schedule V;
Code of conduct: Code of conduct for sponsorship, donations of and submission of funding request by
MasterPeace as set out in Schedule VI;
Agreement This Agreement, including all Schedules thereto. CLAUSE 3 – PERMISSION TO USE
3.1 MasterPeace Club is fully responsible for their own work, activities, volunteers and employees.
3.2 MasterPeace Club legally must act as a Non-Profit entity. The Club’s leadership (Board of Advisers,
Leader and Legal Entity Umbrella) is responsible to assure the Non-Profit status of MasterPeace Club.
3.3 During the course of the Agreement, MasterPeace Club is entitled to present the Concept (Schedule I) to
the public as its ‘on-the-ground extension’. MasterPeace Club shall work with transparency and
responsibility according to the Values (Schedule II) and Goals (Schedule III). The permission also covers
any changes to the Concept and/or the Activities (Schedule IV) as implemented by MasterPeace
Foundation.
3.4 This agreement grants the Club to operate only inside the approved locality determined in Clause1 of this
license and according to the locality and permission of the legal umbrella.
3.5 To avoid conflicting activities with other sponsors and to avoid future problems with branding, Clubs shall
not approach the communicated MasterPeace Foundation partners for further sponsorship for their
activities without permissions from MasterPeace Central office.
3.6 MasterPeace Clubs are allowed to use MasterPeace Intellectual Property (Schedule V). They are not
allowed to accept partnerships or donations from companies known for their involvement in unfriendly
damaging environmental activities, production of weaponry, violations of human rights, money laundering,
or any other obviously negative and destructive behaviors as set in the Code of conduct (Schedule VI). CLAUSE 4 - OBLIGATIONS OF MASTERPEACE FOUNDATION
4.1 MasterPeace Foundation shall promote and use its best efforts to realize the Concept and Goals. This will
include further development and safeguarding of the Concept and the Activities, the promotion and the
realization of international expansion of the Concept and the Activities by having local activists, social
entrepreneurs, NGOs, grass root projects or others co-ordinate a MasterPeace Club in their respective
localities.
4.2 MasterPeace Foundation shall procure that the Concept, the Activities and all rights connected with it will
be maintained during the course of this Agreement. MasterPeace Foundation warrants and represents
that the use by MasterPeace Club of the rights granted to it under this Agreement shall not infringe any
right of a third party and MasterPeace Foundation and severally indemnify MasterPeace Club against all

4.3 MasterPeace Foundation shall keep MasterPeace Club continuously and accurately informed about the
progress and development of the Concept and Goals.
4.4 MasterPeace Foundation is collaborating with the best experts in the field to establish a brand popular for
its uniqueness, entrepreneurship and positive message. The MasterPeace brand name will be one of the
stimuli to encourage the participation of businesses, NGOs and artists.
4.5 MasterPeace Foundation shall support MasterPeace Club as much as it deems reasonably possible with
consultancy, guidance and expertise.
4.6 All projects started by MasterPeace Clubs are given the opportunity to use masterpeace.org as a platform
for collaboration and finding valuable resources. CLAUSE 5 - OBLIGATIONS OF MASTERPEACE CLUB
5.1 MasterPeace Club shall use its best efforts to communicate the Concept, Values and Goals to other
communities and to realize the Activities, including the obligatory aspects included in Schedule IV. MasterPeace Club shall support any local project under the standards of the Code of conduct and the
MasterPeace Values.
5.2 MasterPeace Club shall take full responsibility of the financing, planning and conducting of its own
activities such as described in the yearly action plan in case of any claim from third parties.
5.3 MasterPeace Club is obliged to keep record of all of the financial transactions and expenses to be
presented, when needed, to the MasterPeace foundation financial auditors or any statutory authorities.
5.4 MasterPeace Club shall use its best efforts to recruit volunteers and manpower to fulfill the MasterPeace
Goals and its own activities operating capacity.
5.5 MasterPeace Club shall keep proper accounts of the Activities, including the proper administering of
supplied goods and services in relation to its own operations.
5.6 Upon request of MasterPeace Foundation, MasterPeace Club shall provide MasterPeace Foundation with
a survey regarding the progress in respect of the organization of the Activities, the results of the
fundraising (including with a financial statement in respect thereof) and the projects to be supported. The
financial statement shall be supported by a statement of an independent accountant, if requested by
MasterPeace Foundation. The costs of the accountant will be borne by MasterPeace Club.
5.7 MasterPeace Club will participate as an individual entity for grants, donations and every other funding
activity as part of the support for the operating capacity of the MasterPeace Club. The funds raised for the
activities must be spent only for that purpose.
5.8 MasterPeace Club agrees to use MasterPeace goals and activities in comp liance with all applicable laws
including local laws in your country which held MasterPeace activities.
5.9 MasterPeace Foundation may use freely MasterPeace Club activities reports and information about the
club to communicate them through/to MasterPeace foundation website, third parties, and all types of
media.
5.10 MasterPeace Club is required to have a legal entity umbrella, complying with the country’s laws,
regulations and MasterPeace Clubs Manual. The MasterPeace Club’s legal umbrella can be a newly
founded entity to serve our goals, or an existing organization that will endorse the MasterPeace idea. The
legal entity will be needed in order to implement initiatives, accept/make donations, and sign contracts

with partners and other types of relationships. This registered legal entity shall be approved by the
MasterPeace Foundation.
5.11 MasterPeace Club shall not change the approved legal umbrella by MasterPeace Foundation without
acquiring the approval from MasterPeace Foundation for the new legal umbrella.
5.12 MasterPeace Club shall report the legal umbrella all documents related to any financial activities coming
from sponsorships, donations in kind or cash and other type of funding activities. The frequency of this
clause is left to the parties to decide.
5.13 MasterPeace Club shall notify the legal umbrella of any usage of its name, brand and logo for any
purposes unless it has been previously agreed. CLAUSE 6 - OBLIGATIONS OF LEGAL UMBRELLA
6.1 The organization shall provide MasterPeace Club the legal representation, which means representing
MasterPeace Club in the following: Signature of any type of official documents, contracts or agreements;
submission of applications for grants and donations; and establishment of partnerships with other parties.
6.2 The organization shall act as the financial umbrella of the MasterPeace Club. It shall provide
MasterPeace Club a bank account number in which donations, sponsorships and any other type of
income coming from funding activities shall be deposited in this account and to be used at any time by
MasterPeace Club. MasterPeace Club is only allowed to receive fund (grants, sponsorship, cash or in
kind donations) through the legal umbrella representation and accounts.
6.3 The organization shall not use any funding that the MasterPeace Club obtains unless it is previously
agreed.
6.4 The organization shall promote, support and acknowledge MasterPeace Club and MasterPeace Club’s
activities as an initiative of the organization itself.
6.5 The Organization shall monitor and the activities implemented by MasterPeace Club. It shall facilitate any
statutory requirement related to MasterPeace Club under its legal umbrella and shall be responsible for
the actions of the MasterPeace Club along with the founders for any disputes taken against the Club.
6.6 The organization shall keep track of all of the financial transactions and present them (when needed) to
MasterPeace financial auditors and/or any other statutory entity. The organization shall present its
financial statement on yearly basis, when requested by MasterPeace financial auditors.
6.7 The organization shall not use MasterPeace’s name, brand and logo without previous agreement with the
MasterPeace Club.
6.8 The organization shall not continue using MasterPeace’s name in case the MasterPeace Club terminated
its operation in the agreed orders.
6.9 The obligations of the Legal Umbrella shall only be applicable during the existence of the MasterPeace
Club and during all its activities. In case the MasterPeace Club stops working, the Legal Umbrella won’t
have any further responsibility with neither MasterPeace nor the MasterPeace Club. Egypt

CLAUSE 7 - OBLIGATIONS OF COUNTRY COORDINATOR
7.1 The Country Coordinator of MasterPeace Clubs in a country shall work on ensuring the sustainability of
the MasterPeace initiative in this country. S/he shall seek opportunities for expanding MasterPeace
message and activities in a country. S/he shall evaluate the success of the MasterPeace initiative in a
country as well as assisting with its development.
7.2 The Country Coordinator is responsible for facilitating the communication and collaboration between
different MasterPeace Clubs in a country. S/he assumes responsibility for coordinating the different
activities among the existing or future MasterPeace Clubs in a country and for managing all aspects of
MasterPeace's work in the country.
7.3 The Country Coordinator shall serve as contact point for the MasterPeace Central Office in a specific
country and liaison between MasterPeace Central office and MasterPeace Clubs in a country. S/he is
responsible for ensuring that the 2011-2014 MasterPeace Clubs activities are implemented in a country,
and new strategies developed in line with MasterPeace overall goals.
7.4 The Country Coordinator shall provide leadership for the country’s different MasterPeace Clubs and shall
manage a wide range of external relationships at the national and local level. S/he shall strengthen
relationships with partner organizations, NGOs, government agencies and donors in a country. CLAUSE 8 - COMMUNICATION, CO-ORDINATION
8.1 Upon request of one of the Parties, but at least every month, the Parties shall consult each other
regarding the progress of the Concept and the Activities.
8.2 MasterPeace Clubs shall use the MasterPeace Clubs Communication Manual as set in on our official
website. The main goal of this document is to inform you about the communication strategy of MasterPeace and
provide tools for the development of the Activities. These guidelines are given as a central reference to
ensure that core strategies and messages are followed in order to strengthen each other.
8.3 The Parties shall inform each other without delay concerning circumstances arisen which may have a
disadvantageous effect on the Concept and the Activities, including the fundraising of funding in relation
thereto. Circumstances as meant in this sub-clause include substantial changes by MasterPeace
Foundation to the Concept and Goals. CLAUSE 9 - INTELLECTUAL PROPERTY
9.1 Parties understand and agree that all rights related to the Concept belong to MasterPeace Foundation. MasterPeace Club has the right to use the Brand, the Name and the Logo of MasterPeace Foundation
established as a non-for-profit organization and in an appropriate way. Nothing of the integrity of the
Name of MasterPeace shall be damaged by activities against the MasterPeace Values and Concept.
9.2 MasterPeace Name, Logo and Brand are standard and property of the MasterPeace Foundation and
these shall not be altered in any way. However, the MasterPeace Clubs shall have the right to use local
names for projects and activities for a better understanding of the MasterPeace goals in their local
communities.
9.3 Each Party shall immediately inform the other Party of any infringement or unauthorized use by third
parties of the Concept within the Club’s locality. If in the event of such third party infringem ent
MasterPeace Foundation decides to take legal action to terminate such infringement, MasterPeace Club

shall render MasterPeace Foundation all reasonably requested assistance at the expense of
MasterPeace Foundation. CLAUSE 10 – DURATION AND TERMINATION
10.1 This Agreement is entered into for a preliminary period starting on 02/07/2013 and onward. This license is
applicable till termination with violation of any MasterPeace Foundation rules and regulations, or upon
request of closure. Your rights under this license shall be terminated if you fail to comply with any term(s)
of this license.
10.2 Each Party is entitled to unilaterally terminate the Agreement by registered letter with immediate effect, if
the other Party is in material breach of this Agreement and, after having received a written notice to
remedy the breach within a reasonable time of not less than one month, fails to do so within said
reasonable time. Immediate termination by written notice is possible, if the material breach cannot be
remedied by its nature.
10.3 MasterPeace Foundation is entitled to unilaterally terminate the Agreement by registered letter with
immediate effect, if
a. MasterPeace Club is prevented from having a significant activity during the years of duration of
this license. b. MasterPeace Club partners with any association, organization or company that discriminates
people because of the race, ethnicity, sexual orientation, political or religious believes
c. MasterPeace Club partners with any association, organization or company that promotes direct or
indirect war or violent action. d. MasterPeace Club belongs to a certain political party, political movement or any specific ideology. e. MasterPeace Club is prevented from performing its obligations except for force majeure reasons
for a period more than three months. f. MasterPeace Club has been declared insolvent. g. MasterPeace Club loses the power to dispose of its assets.
10.4 Upon termination of this Agreement
a. MasterPeace Club shall immediately cease the use of the Concept, Activities and also the
Intellectual Property rights. MasterPeace Club shall present to MasterPeace Foundation financial statements as per the date
of termination, which shall include a profit & loss account in respect of the Activities covering the
period until the date of termination and a balance sheet as per the termination date. Egypt

CLAUSE 11 – GOVERNING LANGUAGE
11.1 No amendments to or modifications of this license will be binding unless in writing and signed by
MasterPeace Foundation. Any translation of this license is done for local requirements and in the event of
a dispute between the English and any non-English versions, The English version of this license shall
govern, to the extent not prohibited by local law in your jurisdiction. IN WITNESS WHEREOF this Agreement has been duly signed and executed

- MASTERPEACE FOUNDATION CONCEPT –
MasterPeace is an international bottom-up peace initiative with the major goal to involve people in peace building. We want to mobilize millions of people - amongst the international civil society - to do work for the sake of peace
in the broadest sense, including (social) sustainability, the reduction of (armed) conflicts (on both private and
global levels) and international collaboration. Music and art as mobilizer
MasterPeace will be the most heartwarming peace project ever, as a result of an intensive East-West
cooperation, in co-creation with musicians, artists, peace-workers, journalists, cities, companies, other members
from civil society and you. Through music, art, new media, grass root involvement and the development of the
International Day of Peace, MasterPeace will encourage dialogue, togetherness and social sustainability from
small local neighborhoods to large conflict areas, worldwide. Just Do It-campaign for peace
MasterPeace will develop several attractive peace building projects, global and local, including a mesmerizing
concert on the International Day of Peace in 2014, where artists from the world’s focus areas will perform to
encourage dialogue and promote togetherness. The concert will be an exclusive reward for people who actively
supported peace building activities in the years before the International Day of Peace in 2014. MasterPeace might become the best possible answer to fear and indifference. We already have committed our
time, dedication, expertise, passion and professionalism, but we can’t be successful without your involvement. Egypt

- MASTERPEACE CORE VALUES –
The foundation of MasterPeace is built on four core values. These values are what we believe in and are what we
stand for. They are the base of our existence and therefore the base of all our actions. These magnificent four
are:
1. Positivity: MasterPeacers work with positive energy. We believe in positivity for solving conflicts. We emit
positive energy and want to show that in all aspects of MasterPeace. Connectendness, dialogue, listening
to others with attention and speaking from the heart. We believe this will help to overcome conflict.
2. Co-creation: The slogan “Creating peace. Together” means that we aim to work open, flexible and
without judgment. We create together by connecting volunteers, entrepreneurs, artists, groups,
companies and NGO´s. We facilitate connections so everyone can invest their talents to the deliveries
necessary to create peace together.
3. Ownership: We all have ownership over peace and therefore over MasterPeace. Peace is something we
create together. MasterPeacers value ownership to honor responsibility & autonomy. We believe that
trust and professionalism empower autonomy. All together we bring long term (sustainable) relationships
to life.
4. Walk your talk: MasterPeacers do as they say. A promise, agreement or contract is held. That is what

SCHEDULE IV
- MASTERPEACE CLUB ACTIVITIES –
MasterPeace Clubs are not obliged to conduct all of the following suggested activities; however our only strong
request is that you organize a yearly celebration of the International Day of Peace, on the 21st of September.
1. MASTERPEACE PEACE DAY CELEBRATION
Promoting the International Day of Peace is one of the most important goals of MasterPeace. We want individuals
from all over the world to start recognizing this day. We aim to reach an average global rate of 50% awareness by
2014. The celebration will promote MasterPeace and its general goal: peace-building among the local
communities. This goal will be achievable if each MasterPeace Club celebrates Peace Day within its community
and attracts the attention of the local and international media. Peace Day will mainly focus on all forms of art
celebration (as music, dance, painting, graffiti, fashion, etc); yet new forms of social media, sport events, or
dialogue initiatives are also welcomed. The celebration could be as simple as raising a peace sign to show your
passion for peace, or throwing a small “World Flag” march; where a group of individuals would be marching with
each one carrying a different country flag representing their support for world peace cause. Peace Day
celebration could also be a glamorous one, such as making a conference featuring key peace speakers and
figures like Kofi Annan, conducting a huge festival, or organizing a big concert with famous celebrities performing.
2. STARTING YOUR OWN MASTERPEACE PROJECTS (LOCALIZE IT!)
MasterPeace implemented Projects symbolize how the Club embraced MasterPeace vision and values and
translated them into projects. In order for the projects to be effective, they have to address conflicts inside your
community. Therefore the projects’ ideas shall be based upon your community’s needs. You just need to make
sure that the project follows the MasterPeace project guidelines.
1- Peace-building:
Your project’s aim is to raise the awareness for peace. Your project concept and core ideas have to impact peace building directly. Your project has to be related with one of MasterPeace key messages and overall objective.
2- Community Engagement
Engage individuals and organizations to steer change and build peace in their communities. Have a low barrier of involvement and participation for the rest of the community. “Make it easy”
Involve a large number of volunteers in the project implementation.
3- Cost-Effective, and Affordable
Your initiative is more effective when:
- Implemented with the lowest material costs entailed.
- When you depend on in-kind contributions more than cash donations represented in a 4:1 ratio. Your initiative may utilize all the resources available, through partnership with other specialized

3. SUPPORT MASTERPEACE 2.0 PLATFORM
MasterPeace Platform is a global collaborative website where agents of change promote their initiatives,
volunteer with their skills, time, and expertise in achieving the ultimate goal of reaching a more peaceful world. Through the platform, you are capable of presenting projects advocating for a cause, networking with other
peace-builders for collaboration experience and knowledge exchange, recruiting volunteers for your initiatives as
well as finding valuable resources.

Paulo Coelho, the renowned novel author, has honored MasterPeace to make his famous novel “The Alchemist”
come alive. In every country of the world, MasterPeace will inspire individuals to become the ‘shepherd boy’, the
main character of the novel, and start traveling towards the Egyptian Pyramids in the most eco-friendly and visible
possible way. The Alchemist Alive will enable MasterPeacers to create thousands of new intercultural and interfaith friendships,
which is expected to bring positive experiences into all kinds of social media, as Facebook, Twitter, weblogs and
documentaries to millions of other people. Due to the involvement of sport clubs, travel websites, and college
students we expect at least 10,000 journey takers, all of whom have earned their ticket to MasterPeace Mega

- CODE OF CONDUCT FOR SPONSORSHIP, DONATIONS OF AND SUBMISSION OF FUNDING REQUEST
BY MASTERPEACE –
A. General guidelines
Basically all donations and subsidies that meet the ethical criteria will be accepted as long as they don’t harm the
funding of the concept such as to be decided upon by the MasterPeace foundation. Offered donations and
sponsorship by businesses and private parties that are complicit in human right abuses, tolerate forced or
compulsory labor or the use of child labor, that are involved in the sale or manufacture of anti-personnel mines or
their components, that are found in violation of environmental laws, or that otherwise do not meet relevant
obligations or responsibilities by the United Nations, are not accepted. Ethical criteria
1. Not related in any way to weapon industry related companies;
2. Companies and businesses active in sectors in which contact with repressive, violent and/or terroristic
regimes is unavoidable, should have clear guidelines/policies to treat with those regimes;
3. Companies active in sector with high risk on corruption or active in countries with corrupt regimes, should
have clear guidelines/policies to avoid corruption;
4. Companies known or suspected to directly violate Human Rights (child labor, discrimination of vulnerable
groups such as AIDS patients, exploitation of humans …..) or to be related to industry where HR are
violated.
5. Violation of labor rights: Companies working or active in sectors and regions where labor rights (AIDS
working policies, working hours and conditions, safety & security, child labor …) are often violated should
have clear guidelines and policies to avoid these violations.
6. Violation of national and international codes, treaties and conventions

7. Companies should have policies on environmental protection and sustainability. No damage should occur
during production process. Earth should be respected and protected. General criteria for partnerships with:
Businesses, private companies (banks and investment companies)
Display corporate responsibility and leadership in the community;
Make a positive contribution to society;
Have a record of socially-responsible behavior;
Have a positive public image and, or product/service image;
Have a history to development-related causes;
Have responsible labor practices;
And employ responsible environmental practices;
Do not invest in corrupt, repressive and violent regimes;
Do not invest in companies that are in violation of above mentioned general guidelines. National and international grant making organizations and foundations
Clear transparent income of funds;
Clear policies developed on above mentioned general criteria.
