NOTICE of ANNUAL GENERAL MEETING of
KHANCOBAN COUNTRY CLUB

NOTICE IS HEREBY GIVEN THAT the 2024/2025 Annual General Meeting of Khancoban Country Club Limited will be held in the Khancoban Country Club Sports room, Mitchell Avenue, Khancoban NSW 2642 on Thursday 27th February 2025 at 7pm.
Nomination forms for the Board of Directors are available by contacting either the President (Roy Van Zetten) or Treasurer (Lionel Marriner) via email at [email protected] Nominations are required to be received by 21st February 2025 Members please note:
As per the Corporations Act the Club is not required to post out the Annual Report and Statement of Accounts. Requests for the financial reports are to be emailed to Lionel Marriner at [email protected], Paper copies will be available on the night of the AGM.
Members wishing to ask questions regarding the financials at the Annual General
Meeting are asked to convey those questions in writing to the Treasurer Lionel Marriner on no later than the 14th February 2025. This will allow directors time to carry out any necessary research to provide more informative answers.
Eligibility to Vote: Members who under the Constitution are eligible to vote are: (a)
Unrestricted members, (b) Restricted members. Prohibitions under Registered Clubs Act 6. Under the Registered Clubs Act, proxy voting is prohibited and members who are employees of the Club are not eligible to vote.
We will state that members who were eligible at the AGM on the 21st May 2024 are still recognised as members this financial year.
The meeting will consist the following: -
BUSINESS OF MEETING
1. To receive and confirm the minutes of the last Annual General Meeting held 21st of May 2024 (a copy of the Minutes is available on the Club’s notice table at the meeting).
2. Presidents report
3. Presentation of Financials for 2022/2023 and 2023/2024
4. Building report of the 27th June 2024, to be presented at the meeting or upon request via email to [email protected]
5. That the members agree to the following resolutions;
Resolution 1 – As per legal advice from Solicitors Keating Avery re. proposal that Khancoban Country Club and Khancoban Country Club Golf Club be amalgamated and that the name Khancoban Country Club be changed to Khancoban Golf Club. (Letter from Solicitors Keating Avery to be read)
Resolution 2 – Discussion with members present re de-registration.ie. Ceasing to be a Licenced NSW Club
As Special Resolutions recommended by the Board of Directors: * Special Resolution, A Special Resolution requires the support of no less than 75% of the members present and entitled to vote.
